Terms of Service

Introduction

Welcome to Review of You (“RoY”). These Terms of Service (“Terms”) govern your access to and use of the RoY platform, website, applications, and related services (“Services”). By creating an account, accessing the platform, or submitting data, you agree to be bound by these Terms. If you do not agree, you may not use RoY.

1. DEFINITIONS

• “Business” means any hotel or commercial entity using RoY.
• “User” means any authorized representative of a Business.
• “User-Generated Content” (UGC) means any incident reports, notes, or data submitted.
• “Guest” means any individual referenced in UGC.
• “Platform” means the RoY system and website.
• “RoY,” “Company,” “we,” “us,” or “our” refer to Review of You Inc.

2. SERVICE DESCRIPTION

RoY provides a shared guest risk intelligence platform allowing Businesses to submit and review behavior-based incident data. RoY does not create, verify, or endorse guest data and does not make decisions regarding guest eligibility. All decisions are made solely by the Business. RoY is not a Consumer Reporting Agency under the Fair Credit Reporting Act (FCRA).

3. ELIGIBILITY

You represent that you are authorized to act on behalf of your Business, are at least 18 years old, and will comply with all applicable laws. RoY may refuse access at its discretion.

4. ACCOUNT REGISTRATION & SECURITY

You must provide accurate registration information and maintain the confidentiality of your credentials. You are responsible for all activity under your account.

5. USER-GENERATED CONTENT

All content is submitted by Businesses. By submitting UGC, you certify that it is truthful, accurate, based on actual interactions, and compliant with applicable laws. RoY does not verify or guarantee accuracy.

6. DEFAMATION & CONTENT ACCURACY

You acknowledge that submitted content may impact third parties. You agree not to submit false, misleading, retaliatory, or defamatory content. You further agree that all submissions must be made in good faith and based on factual events. RoY does not independently verify all content and relies on Users for accuracy. You agree to indemnify and hold harmless RoY from any claims, damages, or liabilities arising from allegedly defamatory or inaccurate submissions. RoY may remove content and suspend accounts at its discretion.

7. PROHIBITED CONTENT

You may not submit discriminatory, fabricated, harassing, or unlawful content, or content unrelated to legitimate business concerns.

8. ANTI-DISCRIMINATION

All submissions must be behavior-based and not based on protected characteristics. Violations may result in termination.

9. MISUSE & PENALTIES

Misuse includes false reporting, unauthorized access, or manipulation of the platform. RoY may suspend access, remove data, or pursue legal action.

10. NOT WELCOME BACK DESIGNATION

If you designate a guest as not welcome back, you confirm it is based on legitimate, non-discriminatory business reasons.

11. DATA USAGE & SHARING

You acknowledge that submitted data may be shared across participating businesses and used to generate risk scores. RoY does not guarantee accuracy.

12. PRIVACY

RoY collects limited business data. Guest data is submitted by Businesses and governed by our Privacy Policy.

13. INTELLECTUAL PROPERTY

RoY retains all rights to its platform, scoring systems, analytics, and branding. Unauthorized use is prohibited.

14. NO WARRANTIES

The platform is provided “as-is” and “as-available” without guarantees of accuracy, reliability, or availability.

15. LIMITATION OF LIABILITY

To the fullest extent permitted by law, RoY shall not be liable for indirect, incidental, or consequential damages, including loss of revenue or business opportunities. Total liability shall not exceed fees paid in the prior 12 months.

16. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Review of You Inc., its officers, directors, employees, and affiliates from and against any and all claims, liabilities, damages, losses, and expenses, including legal fees, arising out of or related to: (i) your use of the platform; (ii) your submission of User-Generated Content; (iii) any false, misleading, or defamatory information submitted by you; (iv) your violation of these Terms or applicable law; and (v) any dispute between you and a guest or third party arising from your use of the platform.

17. ENFORCEMENT RIGHTS

RoY may remove content, suspend accounts, or impose requirements to maintain platform integrity.

18. PLATFORM ACCESS

RoY may modify or discontinue services at any time.

19. DISPUTE RESOLUTION & ARBITRATION

All disputes shall be resolved by binding arbitration administered by the American Arbitration Association in Los Angeles, California. You waive rights to jury trials and class actions. RoY may seek injunctive relief where appropriate.

20. FCRA COMPLIANCE

RoY is not a Consumer Reporting Agency and does not provide consumer reports or determine eligibility for services.

21. MODIFICATIONS

RoY may update these Terms at any time. Continued use constitutes acceptance.

22. GOVERNING LAW

These Terms are governed by California law.
